1. General Overview

These Sales Terms and Conditions ("Terms") govern all retail transactions conducted by Leaf and Root LLC ("Company," "we," "us," or "our") at our physical retail location at 1146 S 9th Street, Philadelphia, PA 19147, and through any authorized channels. By completing a purchase, the customer ("Customer," "you") acknowledges having read, understood, and agreed to these Terms in their entirety.

2. Age Verification and Eligibility

2.1 Minimum Age Requirement

All products sold at Leaf and Root LLC, including but not limited to hemp-derived products, CBD products, kratom, and related accessories, are restricted for sale exclusively to individuals who are 21 years of age or older.

2.2 ID Verification

The following are required at the time of purchase:

• Valid, government-issued photo identification (e.g., Pennsylvania driver’s license, state ID, U.S. passport, or military ID)

• The ID must not be expired

• The ID must display a date of birth confirming the purchaser is 21 years of age or older

• We reserve the right to refuse any transaction where ID cannot be verified or appears fraudulent

2.3 Refusal of Sale

Leaf and Root LLC strictly complies with Pennsylvania law and our internal policies prohibiting the sale of age-restricted products to minors. Any employee who reasonably believes that a customer is under the age of 21 is authorized and required to refuse the sale. We reserve the right to refuse service to any individual who fails to present valid identification.

3. Products Covered

These Terms apply to all products sold in our store, including the following categories:

• Hemp-derived products (including hemp flower, pre-rolls, edibles, tinctures, and topicals)

• CBD (cannabidiol) products, including full-spectrum, broad-spectrum, and isolate formulations

• Kratom (Mitragyna speciosa) products, including powders, capsules, and extracts

• Delta-8, Delta-9, Delta-10, THC-O, HHC, and other hemp-derived cannabinoid products lawfully sold in Pennsylvania

• Smoking accessories and paraphernalia

• Any other products requiring age verification under applicable state or local law

4. Pricing and Payment

4.1 Pricing

All prices are displayed in U.S. dollars and are subject to change without prior notice. Prices do not include applicable sales tax unless otherwise stated at the point of sale.

4.2 Sales Tax

Transactions are subject to applicable Pennsylvania state and Philadelphia local sales tax in accordance with current tax law. Leaf and Root LLC collects and remits all required taxes as mandated by the Pennsylvania Department of Revenue and the City of Philadelphia.

4.3 Accepted Payment Methods

We accept the following forms of payment:

• Cash (U.S. currency only)

• Debit cards (where available via our POS system)

• Electronic payment methods as posted at the register

We reserve the right to decline certain payment methods at our discretion.

5. Return and Refund Policy

5.1 General Policy

Due to the nature of our products, including health, safety, and regulatory considerations, all sales are generally considered final. We do not accept returns of opened or used products.

5.2 Eligible Returns

Returns or exchanges may be considered under the following limited circumstances:

• The product is defective or damaged upon receipt

• The wrong product was provided due to Company error

• The product is unopened and in original, undamaged packaging

5.3 Return Window

Any eligible return or exchange request must be made within 7 calendar days of the original purchase date with proof of purchase (receipt). Products returned after this period will not be accepted.

5.4 Non-Returnable Items

The following items are non-returnable under any circumstances:

• Opened or used consumable products (edibles, tinctures, capsules, powders)

• Products purchased in error by the Customer

• Products that have been stored improperly by the Customer

• Kratom products once unsealed

6. Product Disclaimers and Regulatory Compliance

6.1 Hemp-Derived CBD Products

Hemp-derived CBD products sold by Leaf and Root LLC are derived from industrial hemp containing 0.3% or less delta-9 THC on a dry weight basis, in compliance with the 2018 Farm Bill (Agricultural Improvement Act of 2018) and applicable Pennsylvania law. These products are not intended to diagnose, treat, cure, or prevent any disease. Statements regarding these products have not been evaluated by the U.S. Food and Drug Administration (FDA).

6.2 Kratom Products

Kratom (Mitragyna speciosa) is a botanical product. It is legal for sale in Pennsylvania as of the effective date of these Terms. Kratom is not approved by the FDA for any medical use. Customers assume all risk associated with the purchase and use of kratom products. Leaf and Root LLC makes no medical claims regarding kratom.

6.3 Hemp-Derived Cannabinoids (Delta-8, HHC, etc.)

Certain hemp-derived cannabinoid products (including Delta-8 THC, Delta-10 THC, HHC, and similar compounds) may produce psychoactive effects. These products are sold exclusively to adults 21 and older. Customers should not drive or operate heavy machinery after consuming these products. Leaf and Root LLC complies with all applicable Pennsylvania and federal regulations governing the sale of these products, which are subject to regulatory change.

6.4 No Medical Advice

Nothing sold or communicated by Leaf and Root LLC or its employees constitutes medical advice. Customers are encouraged to consult a licensed healthcare provider before using any hemp, CBD, or kratom product, particularly if they are pregnant, nursing, taking prescription medications, or have a pre-existing medical condition.

7. Customer Responsibilities

By completing a purchase, the Customer represents, warrants, and agrees that:

• They are at least 21 years of age

• They have provided truthful and accurate identification

• They will use all products in compliance with applicable federal, Pennsylvania, and local laws

• They will not resell or redistribute products to minors or in violation of any applicable law

• They accept all risk associated with the personal use of the purchased products

• They have not been advised by a physician to avoid any of the product ingredients

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEAF AND ROOT LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE PURCHASE OR USE OF ANY PRODUCT, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, PROPERTY DAMAGE, OR LOSS OF REVENUE, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall the Company’s total liability to any Customer exceed the amount paid by the Customer for the specific product giving rise to the claim.

9. Indemnification

Customer agrees to indemnify, defend, and hold harmless Leaf and Root LLC and its members, managers, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Customer’s misuse of any product; (b) Customer’s violation of any law or regulation; (c) Customer’s breach of these Terms; or (d) Customer’s provision of false or misleading identification.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms and all transactions conducted at Leaf and Root LLC shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

10.2 Venue

Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Philadelphia County, Pennsylvania. Both parties hereby consent to personal jurisdiction in such courts.

10.3 Informal Resolution

Before initiating any formal legal action, Customers are encouraged to contact us directly to resolve disputes informally. We are committed to addressing concerns in good faith.

11. Privacy and Surveillance Notice

Our retail location is equipped with video surveillance cameras operating 24 hours a day, 7 days a week for the safety and security of our customers, employees, and merchandise. By entering our premises, customers acknowledge and consent to such recording. Identification information collected for age verification purposes is used solely for compliance with applicable law and is not stored beyond the point of sale except as required by law.

12. Employee Discount Exclusions

Employee pricing and discounts are not transferable and may not be used by non-employees. Misuse of employee discount privileges may result in disciplinary action and/or termination.

13. Modifications to These Terms

Leaf and Root LLC reserves the right to modify these Terms at any time. Updated Terms will be posted in-store and made available upon request. Continued purchases after the effective date of any modification constitute acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, such provision shall be severed from these Terms and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with any posted store policies, constitute the entire agreement between Leaf and Root LLC and the Customer with respect to the sale of products and supersede all prior communications, representations, or agreements relating thereto.
